• Final Payment: Remaining balance upon project completion
• Payment Methods: Bank transfer, credit card, or other agreed methods

Late Payments

Late payments may result in:

• Project suspension or termination
• Late payment fees (1.5% per month)
• Collection costs and legal fees

Ownership Transfer

Upon full payment, you receive ownership of the final deliverables. However, we retain rights to:

• Portfolio use of completed work
• Underlying code frameworks and libraries
• Proprietary tools and methodologies

Client Materials

You retain ownership of materials you provide. You grant us license to use these materials solely for project execution.

Third-Party Content

We may use third-party content (images, fonts, etc.) with appropriate licenses. You are responsible for obtaining rights to any third-party content you request.

Confidentiality Obligations

These Terms are governed by the laws of the United States, with specific attention to the state of our registration.

Jurisdiction

Any legal proceedings shall be brought in the appropriate courts of our registered jurisdiction, subject to applicable international law.

Definition

Force majeure events include but are not limited to natural disasters, government actions, war, terrorism, and other events beyond reasonable control.

Effect of Force Majeure

Entire Agreement
